The position offers a commercially-minded finance lawyer the opportunity to become part of the legal team supporting the structured products issuance and distribution activity of the Multi Asset Group (MAG) within the Markets & Securities Services division of Citi’s Institutional Client Group.
The MAG structured products business is involved in the development and distribution of structured financial products (including notes, warrants and funds) for institutions, family offices, discretionary wealth managers, private banks and retail distributors. The products are linked to a variety of asset classes, including equities, fixed income and commodities.
The role involves providing transaction legal support for the MAG structured products business in EMEA, including the maintenance of structured debt issuance programmes, product issuance and distribution, and advising on legal and regulatory requirements.
The EMEA Legal division is a critical part of the Citi organisation and many of the processes within Citi. It provides a wide range of services, support and advice to many business areas, including general advice, transaction negotiation, document drafting and execution, as well as oversight of regulatory developments and requirements.
The Legal team supporting the MAG structured products business works closely with the product desks in London and sales teams across Europe, acting as an important partner to provide advice and assistance at all stages of the product lifecycle, including assisting in the structuring of transactions, managing the execution process, drafting, reviewing and negotiating documentation of all types.

The team is responsible for managing and updating Citi's structured debt issuance programmes, negotiating distribution agreements, advising the business on relevant legal and regulatory issues, platform development, website initiatives and marketing materials. As the business operates on a global basis, the role will involve direct responsibility for transactions in EMEA and regular contact with colleagues in the US and Asia.
The role involves maintaining an awareness of current and developing regulatory requirements applicable to Citi’s structured products activity, including the Prospectus Directive, PRIIPs, MiFID, EMIR, AIFMD and domestic laws and regulations, to the extent relevant to the supported business activity.
The successful candidate will be expected to be involved in the management of Citi’s legal risk and to consider the appropriateness of products both for investors and for Citi in its capacity as arranger of such transactions. Therefore, commercial awareness and good judgment are essential skills. As part of the internal control architecture of the firm, the Legal function plays an important role in the approval process for all new and/or innovative structures as well as protecting the Citi franchise through good judgment and compliance with firm-wide policies.
